# END USER LICENSE AGREEMENT (EULA)

## 1. Scope and Acceptance

This End User License Agreement (“EULA”) is a legal agreement between You and mx-pro Joerg Klein (“Licensor”) for the use of GIT-O-MATIK (“Software”).

By installing or using the Software, You agree to be bound by this EULA.

If You obtained the Software through the Microsoft Store or another app store, the applicable store terms may additionally apply. In case of conflict, store terms govern purchases, billing and refunds, while this EULA governs use of the Software.

## 2. License Grant

Subject to this EULA and payment, where applicable, the Licensor grants You a limited, non-exclusive, non-transferable and revocable license to install and use the Software for Your own purposes on up to one (1) device per license.

All rights not expressly granted are reserved by mx-pro Joerg Klein.

## 3. Trial Version

If You use a trial version, the trial is limited to 21 days and may have restricted functionality.

After expiration of the trial period, the Software or individual functions may stop working unless a valid paid license is activated.

## 4. Activation and License Keys

Activation may require an internet connection and a valid license key.

You must not share license keys, circumvent activation mechanisms or otherwise attempt to bypass licensing restrictions.

mx-pro Joerg Klein may suspend or terminate licenses in case of misuse, unauthorized distribution or other material violation of this EULA.

## 5. Updates and Changes

mx-pro Joerg Klein may provide updates including bug fixes, compatibility updates, security fixes and new functions.

Features, user interfaces and technical requirements may change between versions.

Major upgrades may be subject to separate licensing terms or fees.

## 6. Software Functions and Audio Processing

GIT-O-MATIK contains tools intended for guitar practice, audio processing and analysis.

Depending on the installed version, these may include functions such as metronome, tuner, timing analysis, audio monitoring, cabinet impulse-response processing, audio playback, looping and playback-speed adjustment.

The Cab-O-Matic function can process audio signals in real time using cabinet impulse responses (“IRs”).

The Play-O-Matic function can reproduce compatible audio files and may provide functions including manual looping and playback-speed adjustment.

Results produced by audio analysis, tuning, timing or signal-processing functions are intended as practice and creative tools and are not guaranteed to provide scientifically or technically calibrated measurements.

## 7. Audio Hardware and Amplifier Safety

You are responsible for using suitable audio equipment and signal levels when connecting amplifiers, preamps, audio interfaces, speakers or other equipment to GIT-O-MATIK.

**Never connect a loudspeaker/speaker output of a guitar amplifier directly to a standard audio-interface input.**

Speaker outputs may carry high power levels and may damage audio interfaces, computers or other equipment.

Only use outputs specifically designed for connection to line-level or instrument-level equipment, such as suitable Line Out, Preamp Out, FX Send or other manufacturer-approved outputs.

When using tube amplifiers, always observe the amplifier manufacturer's requirements regarding speaker loads, load boxes and connected cabinets.

mx-pro Joerg Klein is not responsible for damage caused by incorrect wiring, unsuitable signal levels, improper amplifier loading or use contrary to equipment manufacturers' instructions.

## 8. Acceptable Use and Restrictions

You shall not:

* rent, lease, resell or host the Software for third parties;
* remove or alter proprietary notices;
* use the Software to develop malware or for unlawful purposes;
* reverse engineer, decompile or disassemble the Software except to the extent expressly permitted by mandatory law, including interoperability rights where legally applicable;
* circumvent or attempt to bypass license or activation mechanisms.

## 9. Third-Party Components and Open Source Software

The Software includes third-party software components that are distributed under their respective licenses.

A list of applicable third-party components and license information is provided in the `THIRD-PARTY-NOTICES.txt` file supplied with the Software.

Where a third-party or open-source license grants You additional rights for the respective component, those terms prevail for that component.

## 10. User-Loaded Audio Files and Impulse Responses

GIT-O-MATIK may allow You to load external audio files and impulse-response files.

You are solely responsible for ensuring that You have the necessary rights to use such files.

mx-pro Joerg Klein does not claim ownership of user-loaded audio files or impulse responses.

Compatibility with every third-party audio file, impulse response, audio interface, amplifier or operating-system configuration cannot be guaranteed.

## 11. Data and Privacy

The Software may locally store information required for its operation, such as configuration settings, application preferences and licensing information.

Where an internet connection is required for license validation, activation, update checks or other explicitly identified online functions, only information necessary to provide those functions is transmitted.

Further information, where applicable, is provided in the Privacy Policy available through the mx-pro website.

## 12. Warranty Disclaimer

To the maximum extent permitted by applicable law, the Software is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.

Compatibility with every hardware configuration, audio driver, operating system, amplifier, audio interface or third-party file format cannot be guaranteed.

This provision does not limit mandatory statutory consumer rights.

## 13. Limitation of Liability

To the maximum extent permitted by applicable law, mx-pro Joerg Klein shall not be liable for indirect, incidental, special or consequential damages, including loss of profits, data or business opportunities.

Aggregate liability shall be limited to the amount actually paid for the relevant Software license, where legally permissible.

Nothing in this EULA excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for intent, gross negligence, fraud, or injury to life, body or health where applicable.

## 14. Termination

This EULA terminates automatically if You materially breach its terms.

Upon termination You must cease using and uninstall the Software.

Provisions which by their nature are intended to survive termination remain effective.

## 15. Export and Sanctions Compliance

You must comply with applicable export-control and sanctions laws and must not use or distribute the Software where prohibited by applicable law.

## 16. Governing Law and Venue

This EULA is governed by the laws of Germany without regard to conflict-of-law provisions.

If You are a consumer, mandatory consumer-protection provisions of Your country of residence remain unaffected.

For business users, the exclusive venue is Ingolstadt, Germany, where legally permissible.

For consumers, statutory jurisdiction rules apply.

## 17. App Store Terms

If the Software is obtained through an app store, purchases, billing and refunds are governed by the applicable store terms.

This EULA governs licensing, permitted use and restrictions relating to the Software itself.

## 18. Miscellaneous

This EULA constitutes the agreement between You and mx-pro Joerg Klein concerning the subject matter covered herein.

If any provision is found invalid or unenforceable, the remaining provisions remain effective.

Failure to enforce a provision shall not constitute a waiver.

The Licensor may transfer this EULA in connection with a merger, acquisition, restructuring or sale of relevant business assets.
